Agreement to these terms

These Terms of Service form a contract between you and Tech Tree Sdn Bhd (“Echo”, “we”, “us”, or “our”) and govern your access to and use of NextRound Echo and its related websites, applications, APIs, and services. By creating an account, joining a workspace, or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

An order form or other agreement signed by both parties controls only where it expressly conflicts with these Terms. Additional terms shown for a particular feature or plan also apply to that feature or plan.

Eligibility and authority

You must be legally able to enter into this contract. If you use Echo for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. Echo is intended for business use and is not directed to children.

Accounts and workspace roles

You must provide accurate account information and keep it current. You are responsible for safeguarding sign-in credentials, limiting access to authorized people, and promptly reporting suspected unauthorized access. You are responsible for activity performed through your account or workspace unless applicable law provides otherwise.

Workspace owners and administrators can invite or remove members, assign roles, configure integrations, manage billing, and control business content. You are responsible for choosing appropriate roles and permissions and for the acts of people you authorize.

The service and AI assistance

Echo provides AI-assisted customer messaging, shared inbox, knowledge, booking, and related workflow features. AI output is probabilistic and may be inaccurate, incomplete, or inappropriate for a particular customer or situation. You must review your business information, instructions, automations, and material customer-facing output, and maintain appropriate human oversight.

Echo does not provide legal, medical, financial, tax, or other professional advice. You remain responsible for decisions, promises, prices, bookings, disclosures, and other communications made through the service, as well as compliance with laws and industry rules that apply to your business.

Content and intellectual property

You retain ownership of content you or your customers submit to Echo (“Customer Content”). You grant us a non-exclusive, worldwide licence to host, copy, process, transmit, display, and otherwise use Customer Content only as reasonably necessary to provide, support, secure, and improve the user-facing service. This licence ends when the content is no longer needed for those purposes, subject to lawful retention and backup practices described in the Privacy Policy.

You represent that you have the rights, notices, permissions, and lawful basis needed for Customer Content and for Echo to process it as instructed. Echo and its licensors retain all rights in the service, software, designs, documentation, and branding. If you provide feedback, you grant us a perpetual, worldwide, royalty-free licence to use it without restriction or compensation.

Acceptable use

You must not use the service to:

  • break the law or facilitate unlawful activity;
  • send spam, unauthorized marketing, deceptive messages, or abusive, harassing, hateful, or exploitative content;
  • impersonate others, misrepresent affiliation, or conceal the material use of automation where disclosure is required;
  • violate privacy, publicity, confidentiality, intellectual-property, or other rights;
  • upload malware, probe or interfere with security, evade limits, reverse engineer restricted parts of the service, or disrupt other users;
  • collect or process sensitive information without appropriate authority and safeguards; or
  • violate the policies of Meta, Google, Microsoft, Stripe, or another platform used with Echo.

Third-party integrations

Echo can connect with third-party products, including Meta services, Google Calendar, Microsoft Calendar, managed AI providers, and Stripe. By connecting a service, you authorize Echo to access and act on data within the permissions you approve. Your use of each provider remains subject to that provider's terms and policies.

We do not control third-party services and are not responsible for their availability, content, security, policy changes, or acts. A provider may change or withdraw functionality. You can disconnect an integration through available workspace controls; effects on stored data are described in the Privacy Policy.

Plans, billing, and credits

Free and paid plans

Echo may offer a Free plan and recurring paid subscriptions. The price, billing interval, currency, included allowances, and other plan terms shown at checkout or in an order form apply to your purchase. Paid subscriptions renew automatically for successive billing periods until cancelled. Payments are processed by Stripe, and workspace owners are responsible for billing changes.

Plan changes and payment status

Unless stated otherwise at checkout, upgrades take effect immediately and may be prorated; downgrades and billing-frequency changes take effect at renewal. We or Stripe may retry failed payments. A past-due workspace may temporarily retain its paid plan during retries, while an unpaid or paused subscription may be suspended. When cancellation takes effect, the workspace returns to the Free plan and its then-current limits.

Top-up credits

Purchased top-up credits are prepaid, shared across the purchasing workspace, used after included plan allowances, and do not expire. Credits are non-transferable, have no cash value, and cannot be moved between workspaces. Payments and credits are non-refundable except where required by law or expressly agreed in writing.

Taxes

Prices may exclude taxes. You are responsible for applicable taxes, duties, and similar charges, and Stripe may calculate and collect them where enabled or required.

Availability and changes

We aim to operate Echo reliably but do not guarantee uninterrupted or error-free service. We may add, change, limit, or discontinue features and may perform maintenance. We will provide notice when required by law or when a material change reasonably warrants it. Preview or beta features may be less reliable and may change or end without notice.

Suspension and termination

We may limit or suspend access when reasonably necessary to address a security risk, suspected unlawful use, material breach, non-payment, harm to users or the service, or a third-party platform requirement. We may terminate access for an uncured material breach or where continued service would be unlawful or materially unsafe.

You may stop using Echo or cancel a paid plan at any time. Account and workspace deactivation are governed by our Data deactivation instructions and Privacy Policy. Provisions that by their nature should survive—such as payment obligations, ownership, disclaimers, indemnity, liability limits, and dispute terms—remain in effect after termination.

Warranties

To the fullest extent permitted by law, Echo is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that output will be accurate or that the service will meet every requirement. These disclaimers do not limit non-waivable consumer or statutory rights.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Echo and its officers, directors, employees, and affiliates from third-party claims, losses, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the service, or your material breach of these Terms.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised that such loss was possible.

Each party's total aggregate liability arising from or relating to the service or these Terms will not exceed the greater of the fees you paid to Echo in the 12 months before the event giving rise to liability and [LIABILITY_CAP_FLOOR]. This section does not limit liability that cannot lawfully be excluded or limited, or your payment obligations.

Governing law and disputes

These Terms are governed by [GOVERNING_LAW], without regard to conflict-of-law rules. Before filing a formal claim, each party will make a reasonable good-faith effort to resolve the dispute. Subject to any non-waivable rights, the courts of [COURTS_AND_JURISDICTION] have exclusive jurisdiction.

General terms

These Terms, the Privacy Policy, applicable feature terms, and any signed order form are the entire agreement about the service. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or sale of the relevant business. Neither party is liable for delay caused by events beyond its reasonable control.

We may update these Terms as the service or law changes. We will update the date above and provide additional notice where required. Changes apply prospectively. Continued use after revised Terms take effect means you accept them, except where applicable law requires another form of consent.
